Job Category: LEGAL AFFAIRSJob Description:You join the Debt Solutions team as a lawyer. In this context, you will be in charge of advising the front-office of Natixis, located in France and abroad, and of legal documentation for:
  • The setup and monitoring of transactions on structured financial instruments (bonds, EMTN, warrants, certificates, collateralized or not), issued by the institution or its subsidiaries or dedicated vehicles, within or outside of its issuance programs;
  • Mastery of the legal aspects of private placements and public offerings of securities mainly in Europe and Asia;
  • The advice and negotiation of contracts relating to the marketing and distribution of these financial securities;
  • The development and updating of structured debt issuance programs for Natixis and its subsidiaries and issuance vehicles; and
  • The follow-up and contribution to the legal and regulatory work concerning these titles.
On a daily basis, your tasks are to:
  • Manage the upstream relationship with operators as part of the design of operations, the structuring of new products and sometimes the underlying (e.g., proprietary index) ;
  • Prepare and negotiate the documentation of securities issues (bid documents, mandates, issuance documentation ...);
  • Develop models and participate in digital work, particularly as part of the automation of emission documentation; and
  • Follow applicable regulations and seating practices.
